These terms are an agreement between you and DOMAINSROCK PRIVATE LIMITED ("we", "us", "our") for the use of whmpanel.in or whmpanel.net (the "Website") and of the WHMPanel software and services (together, the "Services"). By creating an account, buying a license, downloading or installing WHMPanel, you accept these terms. If you accept them for a company, you confirm that you may bind that company. If you do not agree, do not use the Services.
1. Definitions
Software — the WHMPanel application, its bundled extensions, updates and documentation.
License — the right to use the Software under these terms, identified by a license code.
Installation — one copy of the Software running on one domain (with its sub-domains) and its database.
Subscription license — a license paid monthly, yearly, every 2 years or every 3 years.
Lifetime license — a license paid once that does not expire.
2. Your account
You must give correct information, keep it up to date and keep your password and license codes private. You are responsible for everything done through your account. Tell us at once at support@whmpanel.in if you think your account or license code has been misused. You must be at least 18 years old to buy a license.
3. License grant
When your payment is confirmed we grant you a non-exclusive, non-transferable, worldwide license to install and use the Software for your own business, including to sell hosting, domains and other services to your own clients, subject to these terms and to the plan you bought.
Each license covers the number of installations shown on your plan (normally one), on the domain registered with the license, plus localhost for testing and development.
You may move a license to another domain from your client area, within the reset limits shown there.
You may modify the Software for your own installation. Your changes may be overwritten by updates and are not covered by support.
All rights not expressly granted remain with us. The Software is licensed, not sold.
4. What you may not do
You may not, and may not allow anyone else to:
resell, sublicense, rent, share, publish or give away the Software, its source code or a license code, in whole or in part, or offer it as a product, theme or "nulled" copy;
remove, disable, bypass or tamper with the license verification, or use the Software on more installations than your license allows;
remove copyright notices or claim the Software as your own work;
use the Software or the Services for anything unlawful, including fraud, phishing, spam, malware, or hosting content that is illegal under Indian law or the law where you operate;
attempt to break, overload or gain unauthorised access to the Website, the license server or other customers' accounts;
use the demo installation to store real data or to attack other systems.
Breaking this section allows us to block the license without refund, in addition to any other remedy available by law.
5. Subscriptions, lifetime licenses and renewals
Subscription licenses stay active for the period paid. A renewal invoice is created before the due date. If it is not paid, the license is blocked a few days after the due date and the Software asks for a valid license; your data is not deleted. Paying the invoice unblocks the license automatically.
Lifetime licenses do not expire. They include updates and support for the period stated on the plan when you bought it (for example 12 months). After that the Software keeps working; newer versions and support can be added by buying an extension of updates if offered.
You can cancel a subscription from your client area, either at the end of the paid period or immediately.
6. Prices, payment and taxes
Prices are shown on the Website in Indian rupees unless stated otherwise and may include or exclude GST as shown at checkout. Applicable taxes are added according to Indian law and your billing details; please enter your GSTIN before paying if you want it on the invoice. We may change prices for new purchases and future renewals; a change applies to your next renewal only after we give notice. Coupons are subject to their own conditions and cannot be exchanged for cash. Payment through a payment partner is also subject to that partner's terms.
7. Refunds
Because the Software is a digital product delivered immediately, payments are generally non-refundable. We will refund a first purchase if you ask within 7 days of payment and the license has not been activated on a live domain, or if the Software cannot be made to work on a server that meets the published requirements and our support team cannot fix the problem. Renewals, add-on services already delivered (such as installation) and licenses blocked under section 4 are not refundable. Approved refunds are made to the original payment method or as account credit, normally within 7–10 working days.
8. Updates and support
While your subscription is active (or during the updates period of a lifetime license) you can download new versions from your client area and get support through tickets. Support covers installation on a server that meets the requirements, configuration questions and bugs in the Software. It does not cover server administration, third-party services, custom code changes or the content of your own business. We aim to reply within one working day; we do not guarantee a fixed resolution time.
9. Third-party services
The Software connects to services run by other companies, such as cPanel/WHM, domain registrars (Dreamscape, ResellerClub, Namecheap) and payment gateways. Your use of them is governed by their own terms, and you need your own accounts with them. We are not responsible for their availability, fees, changes to their APIs or their acts. cPanel® and WHM® are registered trademarks of cPanel, L.L.C. WHMPanel is an independent product and is not affiliated with, endorsed or sponsored by cPanel, L.L.C. or any other company named on the Website; their names are used only to describe compatibility.
10. Your data and your clients
You own the data in your installation, including the data of your clients. You are responsible for operating your business lawfully, for your own terms and privacy policy toward your clients, for collecting and paying your taxes, and for taking regular backups of your files and database. The Software sends us only the license check data described in our privacy policy.
11. Affiliate program
If you join the affiliate program, commissions are earned only on paid, non-refunded orders from new clients you refer, are held for the period shown in your affiliate area, and are reversed if the order is refunded or found to be fraudulent. Self-referrals, coupon-site abuse and misleading advertising are not allowed and lead to removal from the program and loss of unpaid commission.
12. Intellectual property
The Software, the Website, the WHMPanel name and logo and all related content are owned by DOMAINSROCK PRIVATE LIMITED and protected by copyright and other laws. Third-party libraries included in the Software are used under their own open-source licenses, which are listed with the Software.
13. Disclaimer
We work hard to make WHMPanel reliable, but the Software and Services are provided "as is" and "as available". To the extent the law allows, we do not promise that they will be uninterrupted, error-free or suitable for every purpose, or that they will meet the requirements of every payment gateway, registrar or tax authority. You are responsible for checking your configuration, prices and tax settings and for testing the Software before using it with real clients.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, such as loss of profit, revenue, data, clients or goodwill, arising from the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us for the license concerned in the 12 months before the event that caused the claim. Nothing in these terms limits liability that cannot be limited under Indian law.
15. Indemnity
You agree to compensate us for claims, losses and costs (including reasonable legal fees) arising from your breach of these terms, your unlawful use of the Software, or disputes between you and your own clients.
16. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or end your account or license if you break these terms, if payment fails or is reversed, or if the law requires it. When a license ends you must stop using the Software and delete it, except copies the law requires you to keep. Sections that by their nature should survive (such as 4, 12, 13, 14, 15 and 17) continue after termination.
17. Governing law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute informally — please write to dispute@domainsrock.com. If it cannot be settled within 30 days, the courts at the place of our registered office have exclusive jurisdiction.
18. Changes to these terms
We may update these terms. The date at the top shows the current version. Important changes will be emailed to account holders or shown on the Website at least 15 days before they apply to existing licenses. Continuing to use the Services after that means you accept the new terms.
